Terms of Service

1. ABOUT SEEKERNOVA AND THESE TERMS

SeekerNova ("SeekerNova", "we", "us" or "our") operates the SeekerNova mobile app for Solana Seeker and the website at seekernova.com (together, the "Service"). The Service lets you generate AI images, enter them into weekly themed contests, vote on other entries, buy extra credits with SKR, and receive rewards and NFTs if you win.

These Terms of Service ("Terms") are an agreement between you and SeekerNova. By downloading, accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. ELIGIBILITY

To use the Service, you must:

• be at least 18 years old, or the age of majority where you live if that is higher;
• own a Solana Seeker device that holds a Seeker Genesis Token ("SGT");
• be legally allowed to use crypto-assets and NFTs where you live, and not be subject to sanctions that prohibit you from using the Service.

3. YOUR ACCOUNT AND WALLET

You sign in by connecting the wallet on your Seeker and signing a message that proves you own it. Your account is tied to your SGT, so each Seeker can have only one SeekerNova account. Creating or using more than one account is not allowed.

Your wallet is yours alone. We never see or store your private keys or seed phrase, and we cannot recover a lost wallet or reverse a blockchain transaction. You are responsible for keeping your device and wallet secure and for everything done through your account.

4. CONTESTS AND REWARDS

Each contest has a theme, a submission period and a voting period shown in the app. Typically, submissions open on Monday and voting runs from Friday to Monday. If a contest does not receive enough submissions, it may stay open longer than planned. We may change, extend, pause or cancel a contest at any time.

Winners are decided by community votes: the entries with the most votes win. Currently, the top 3 entries win SKR tokens and the top 5 entries receive NFTs of their artwork. Reward amounts, the number of winners and the number of NFT editions may differ between contests and are shown in the app or our official channels.

We may disqualify entries, withhold or reclaim rewards, and adjust results if we reasonably believe there was cheating, vote manipulation, use of multiple accounts, a breach of these Terms or a technical error. Our decision on contest results is final.

Rewards are sent to the wallet linked to your account. You are responsible for any taxes that apply to rewards you receive.

5. CREDITS AND SKR PURCHASES

Each contest gives you a number of free credits to generate images and submit entries (currently 3 image generations and 1 submission). You can buy extra credits for a contest with SKR, up to a per-contest limit.

• Credits are valid only for the contest they were bought for. They have no cash value and cannot be transferred, sold or exchanged.
• Purchases are paid on the Solana blockchain and are final. Blockchain transactions cannot be reversed, so purchases are not refundable, except where the law requires otherwise.
• Prices and credit bundles may change at any time. You also pay any Solana network fees for your transactions.

If a purchase went through on-chain but your credits did not arrive, contact us at info@seekernova.com with the transaction signature and we will look into it.

6. AI-GENERATED CONTENT

Images are generated by third-party AI models from the prompts you write. You are responsible for your prompts and for the images you submit. AI output can be unpredictable, may resemble other works, and may not be unique to you.

You must not use the Service to create or submit content that:

• is sexually explicit, depicts minors in any sexual or harmful way, or is excessively violent;
• is hateful, harassing or discriminatory, or promotes violence or illegal activity;
• infringes anyone's copyright, trademark, privacy or publicity rights, or impersonates a real person;
• is misleading, spam or otherwise unlawful.

We may refuse, hide or remove any content, and suspend accounts that break these rules. Images shown in the app may carry a SeekerNova watermark.

7. OWNERSHIP AND LICENSE

As between you and us, you keep whatever rights you have in the images you create with the Service. Depending on where you live, AI-generated images may not be protected by copyright.

By submitting an image to a contest, you give SeekerNova a worldwide, non-exclusive, royalty-free, perpetual license to host, store, reproduce, display, adapt (for example, resize or watermark) and distribute that image in connection with the Service. This includes showing it to other users, featuring it on our website and social media, promoting SeekerNova, and minting it as NFTs if it wins. This license continues after the contest ends and for any NFTs that have been minted.

The SeekerNova name, logo, app, website and contest themes belong to us. These Terms do not give you any rights to them.

8. NFTS

When your entry wins, SeekerNova mints a collection of NFT editions of your artwork on the Solana blockchain. Most of the editions for your rank are sent to your wallet, and SeekerNova keeps a small number of them. SeekerNova pays the minting costs.

Your NFTs carry a royalty on secondary sales: you receive 5% of the sale price, and SeekerNova receives a share as well. Royalties are paid by marketplaces that honor on-chain royalties. Some marketplaces do not, so we cannot guarantee royalty income.

Owning an NFT gives you the token and the right to display, hold, sell or transfer it. It does not give the buyer any rights to the SeekerNova brand. Minting is permanent: once minted, NFTs and their metadata cannot be changed or deleted.

NFTs and SKR are not investments. Their value can go up, down or to zero, and we make no promise about any market for them.

9. PROHIBITED CONDUCT

You must not:

• use bots, scripts, multiple accounts or coordinated schemes to generate, submit or vote;
• buy, sell or trade votes, or otherwise manipulate contest results;
• exploit bugs, interfere with the Service, or try to access data or systems you are not authorized to access;
• copy, reverse engineer or resell the Service, except where the law allows it;
• harass, threaten or impersonate other users or SeekerNova.

10. THIRD-PARTY SERVICES

The Service relies on third parties such as the Solana blockchain, your wallet, the Solana dApp Store, AI image providers, NFT marketplaces, Discord and X. We do not control them and are not responsible for their availability, fees or actions. Your use of them is governed by their own terms.

11. RISKS

By using the Service, you understand and accept that:

• crypto-asset prices, including SKR, are volatile, and you may lose value;
• blockchain transactions are irreversible, and mistakes such as sending to the wrong address cannot be undone;
• blockchains, smart contracts and wallets can fail, be attacked or change, and laws about crypto-assets and NFTs may change in ways that affect the Service.

12. CHANGES, SUSPENSION AND TERMINATION

We may change, add or remove features, or suspend or stop the Service, at any time. We may suspend or close your account if you break these Terms or if we need to for legal or security reasons.

You can stop using the Service at any time. To ask us to delete your account data, contact us at info@seekernova.com. Information already recorded on the blockchain, including NFTs and transactions, cannot be deleted.

13. DISCLAIMERS

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted, error-free or secure, or that AI output will meet your expectations.

14. LIMITATION OF LIABILITY

To the fullest extent the law allows, SeekerNova will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, crypto-assets or NFTs, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or USD 100.

Some jurisdictions do not allow these limits, so they may not fully apply to you.

15. INDEMNIFICATION

You agree to defend and indemnify SeekerNova against any claims, losses and costs (including reasonable legal fees) arising from your content, your breach of these Terms, or your violation of any law or the rights of others.

16. GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the country where we are registered.

Nothing in these Terms takes away any mandatory consumer protection you have under the laws of the country where you live.

17. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will post the new version on this page and update the "Last updated" date, and for significant changes we will also let you know in the app or through our official channels. If you keep using the Service after changes take effect, you accept the updated Terms.
